Thank you for using Yaspa, a service provided by Yaspa Inc., a Delaware corporation (“Yaspa”, “we”, or “us”). These Terms of Use (“Terms”) are a legally binding contract between you and Yaspa Inc. governing your use of Yaspa’s payment initiation services, account information services, and websites (collectively, the “Yaspa Services”).
PLEASE READ THESE TERMS AND OUR PRIVACY POLICY CAREFULLY. BY CLICKING “AGREE AND PAY NOW,” WITHIN THE YASPA INTERFACE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
THIS AGREEMENT CONTAINS AN ARBITRATION PROVISION (SECTION 20). IT REQUIRES DISPUTES TO BE RESOLVED THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS RATHER THAN JURY TRIALS OR CLASS ACTIONS.
1. About the Yaspa services
(a) Your Access to the Yaspa Services. You were likely directed to the Yaspa Services because you are purchasing goods or obtaining services from a merchant (the “Merchant” or “Payee”). To complete that transaction, you need to provide payment and/or information to the Merchant. You are entering an agreement to assist enabling you to do so via our platform.
(b) What the Yaspa services enable.
The Yaspa Services enable you to:
- (i) provide information and/or payment to a Merchant;
- (ii) authorize a Merchant to obtain information and/or payment from you, or to send payments (including disbursements, refunds, or payouts) to you; and
- (ii) permit Yaspa to access, process, and share information from your Bank account with the Merchant in connection with the goods or services you obtain from that Merchant, in each case as further described in Section 3 (Your Authorization and Information).
(c) Our relationship with merchants (limited agent). The Yaspa Services are provided to Merchants pursuant to a commercial agreement. Where you use our payment initiation services, the Merchant has expressly authorized Yaspa Inc. to act as its limited agent for the purpose of receiving payment instructions, facilitating the processing of payments, and facilitating related information sharing on the Merchant’s behalf.
(d) Payment extinguishment. When your Bank confirms the initiation of funds as payment for goods or services, such payment is considered to have been received by the Merchant. This “extinguishes” your payment obligation to the Merchant for that amount, regardless of the internal settlement time between financial institutions. If the transaction is subsequently returned, reversed, or otherwise unwound (for example, due to insufficient funds, a chargeback, or a return under the ACH rules), your payment obligation to the Merchant for that amount is reinstated.
(e) Disbursements and refunds. Where we facilitate a disbursement or refund from the Merchant to you, such payment is considered received by you once the transaction is initiated, extinguishing the Merchant’s payment obligation to you in that amount, subject to the same reinstatement principle in Section 1(d) if the transaction is returned or reversed.
(g) Geographic limitations. The Yaspa Services are currently intended for use within the United States. Depending on the nature of the transaction or the specific Merchant, the Services may be limited to use within certain U.S. states. You agree to comply with any geolocation requirements prompted by the Yaspa interface and/or Merchant limitations.
2. Eligibility
You must be at least 18 years of age and a resident of the United States to use Yaspa Services. By using Yaspa, you represent that you have the legal capacity to enter into this contract and that your use complies with all applicable US laws and regulations.
3. Your authorization and information
(a) Using the Yaspa services to provide information or payment. Through the Yaspa interface, you may provide information to us, your Merchant, or third-party service providers to:
- (i) retrieve and verify information about you (e.g., account ownership or balance);
- (ii) obtain payment(s) from your Bank account;
- (iii) make payment(s) to your Bank account (disbursements); and
- (iv) access, process, and share information about your Bank with the Merchant in connection with the goods or services you obtain from that Merchant, as further described in Section 3(d) below.
As used in these Terms, “Bank” means a U.S. federal- or state-chartered bank, credit union, or other chartered depository institution.
(b) Information we request. To facilitate a transaction, you may be asked for your Bank name, login ID, password, PIN, or answers to security questions (collectively, “online banking credentials“), together with personal data such as your name. The specific data requested depends on the service being provided.
(c) How your information is used. By using Yaspa, you authorize us to process and disclose the information you provide to:
- access your Bank account to retrieve associated information via interactive or server-to-server sessions;
- verify your identity, account standing, and that you are the authorized holder of the Bank account;
- share relevant information (but not Online Banking Credentials) with Merchants and service providers to complete transactions, facilitate the Yaspa Services, and provide the Merchant with information and analytics from your Bank account as described in Section 3(d);
- and otherwise process your information as described in our Privacy Policy.
(d) Account information access and derived information. By using the Yaspa Services and granting consent at the point of authorization, you authorize Yaspa, for the duration of that consent, to:
- (i) access your Bank account and obtain information from it, including account, transaction, balance, and related financial information;
- (ii) retain, process, analyze, and otherwise use that information for the purposes described in these Terms and our Privacy Policy, including to generate categorizations, summaries, analytics and insights derived from that information (“Derived Information“); and
- (iii) share that information and any permitted, Derived Information with the Merchant, as appropriate to the service being provided to the Merchant.
You acknowledge that the Merchant may use the information and Derived Information shared by Yaspa for its own purposes in connection with your relationship with the Merchant. The Merchant’s use of such information is governed by the Merchant’s own terms and privacy policy, and Yaspa is not liable for any actions taken by the Merchant.
Your consent under this Section 3(d) remains in effect until it expires or you revoke it in accordance with Section 4A. Revocation of consent will stop further access to your Bank account by Yaspa but will not, by itself, require deletion of information already collected, which will be retained, used, and shared in accordance with our Privacy Policy. Yaspa does not act as a “consumer reporting agency” within the meaning of 15 U.S.C. § 1681a(f) in providing the Yaspa Services. Information collected under this Section 3(d) is not used by or otherwiseprovided to a merchant by Yaspa as a “consumer report” within the meaning of the federal Fair Credit Reporting Act, 15 U.S.C. § 1681a(d), and Yaspa does not act as a “consumer reporting agency” within the meaning of 15 U.S.C. § 1681a(f) in providing the Yaspa Services. Merchants are not permitted to use your information for any purposes under the Fair Credit Reporting Act.
(e) Your choices and opt-out rights. You have choices regarding how Yaspa collects, uses, and shares information about you. Depending on your state of residence and the nature of the processing, these may include the right to:
- (i) revoke your consent to Yaspa’s continued access to your Bank account, in accordance with Section 4A;
- (ii) opt out of the sale or sharing of your personal information, and limit the use and disclosure of your sensitive personal information, where such rights are available to you under applicable state privacy law;
- (iii) opt out of receiving marketing communications from Yaspa;
- (iv) opt out of the use of automated decision-making technology in connection with the Yaspa Services, where applicable; and
- (v) exercise other rights granted to you under applicable law, including rights of access, correction, deletion, and portability.
The methods for exercising these choices, the categories of information to which they apply, and any limitations on these rights are described in our Privacy Policy. Some of these rights are statutory and may not be available in all states; others depend on the specific processing activity. Exercising one choice (for example, revoking consent under Section 4A) does not by itself trigger the others (for example, deletion of information already collected), each of which must be exercised separately.
(f) Anti-Money laundering (AML) & identity verification. You authorize Yaspa, directly or through third parties, to make any inquiries necessary to verify your identity and financial standing. This may include verifying your information against third-party databases (e.g., wireless carrier data or credit bureaus) to comply with U.S. anti-money laundering and counter-terrorism financing laws.
(g) Authorization for ACH and real-time payments. If you authorize a payment via Yaspa, you provide electronic consent for Yaspa to share the information necessary to transfer funds via the U.S. Automated Clearing House (ACH) system, Real-Time Payments (RTP) network, or other interbank methods in the amount specified.
Noteon”Instant”Payments:While labeled as “Instant,” payouts or payments may be subject to Merchant confirmation or Bank processing times, which can occasionally take several hours or days.
(h) Limited Power of Attorney. For all purposes described in these Terms, you hereby grant Yaspa a limited power of attorney and appoint Yaspa as your true and lawful attorney-in-fact and agent. This grants us full power to access third-party sites (your Bank), retrieve information, and use your credentials as you would in person, solely to provide the Services. You acknowledge that when Yaspa accesses this information, we are acting as your agent and not as the agent of the Bank or the Merchant.
(i) No relationship with third-party sites. Yaspa has no official affiliation with the Banks or third-party sites accessed through the Service. Our Service is not endorsed or sponsored by your Bank. While we use bank-level security, you acknowledge that Yaspa may not maintain the exact same security protocols as your Bank’s native site.
4. Security of credentials
You are solely responsible for maintaining the confidentiality of your banking credentials. Yaspa will never store your bank login passwords or multi-factor authentication (MFA) codes. If you believe your Bank account has been compromised, notify your Bank and us
(techsupport-us@yaspa.com) immediately.
Where offered by your bank, Yaspa will facilitate an OAuth flow, wherein you will authorize sharing of account data, balances, transaction information, and/or contact information on the bank’s website or app directly.
4A. Revocation of consent
You may revoke any consent you have given Yaspa to access your Bank account and to obtain information from it at any time by emailing techsupport-us@yaspa.com or, where available, through your Bank’s consent dashboard. Revocation will stop further access to your Bank account by Yaspa and further sharing of new information with the Merchant by Yaspa. Revocation will not, by itself, (i) require deletion of information already collected, which Yaspa will continue to retain, use, and share in accordance with our Privacy Policy and applicable law; (ii) require the Merchant to delete, return, or stop using information already received; or (iii) affect payments you have already authorized and which are in the process of settling. If you wish to request deletion of personal information already collected, you must submit a separate request as described in our Privacy Policy, subject to any legal exceptions (including our record-keeping obligations under the Bank Secrecy Act).
5. Payments to merchants
- Authorization: When you confirm a payment, you give electronic consent for Yaspa to initiate a transfer via the ACH system, RTP (Real-Time Payments) network, or other available transfer methods.
- Finality: Once you authorize a payment, it may not be possible to cancel it.
- Fees: Yaspa does not charge you a fee for this service; however, your Bank may charge you for transfers or “NSF” (Non-Sufficient Funds) fees if your balance is too low.
6. Accuracy of information
You are responsible for confirming that the payment amount and the Payee (Merchant) name are correct. Yaspa is not responsible for errors in transaction details provided by you or the Merchant.
7. Merchant actions, refunds, and Information Sharing
Yaspa facilitates the transfer of funds and information between you and the Merchant but is not a party to the underlying transaction or relationship between you and the Merchant.
(a) Goods and aervices. We are not responsible for the quality, delivery, performance, or legality of the goods or services you purchase from, or otherwise obtain from, the Merchant. Any disputes regarding goods or services must be resolved directly between you and the Merchant.
(b) Refunds.All refund requests must be directed to the Merchant. Yaspa cannot reverse a completed transaction. Where the Merchant approves a refund, we may facilitate the disbursement of refunded funds to your Bank account in accordance with Section 1(e) and Section 5.
(c) Account information sharing.Where you have authorized Yaspa to access your Bank account in connection with a Merchant transaction, Yaspa may share information from your Bank account, and analytical outputs derived from that information, with the Merchant as described in Section 3(d) and our Privacy Policy. You acknowledge and agree that:
- (i) the Merchant may receive, retain, and use such information and Derived Information for its own purposes in connection with your relationship with the Merchant, including for risk management, account management, regulatory compliance, fraud prevention, and other purposes the Merchant determines to be appropriate; provided, however, that information and Derived Information shared by Yaspa via the Yaspa Services is not provided for, and may not be used by the Merchant for, any purpose covered by the federal Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq., including determining your eligibility for credit, insurance, employment, housing, or any other purpose for which a “consumer report” may be used under 15 U.S.C. § 1681b;
- (ii) the Merchant’s use, retention, and onward disclosure of such information and Derived Information is governed by the Merchant’s own terms and privacy policy, and not by these Terms or Yaspa’s Privacy Policy, and you should review the Merchant’s terms and privacy policy for further information;
- (iii) Yaspa is not responsible for the Merchant’s use of, or any decisions the Merchant makes on the basis of, information or Derived Information shared by Yaspa, and any disputes regarding the Merchant’s use of such information must be resolved directly between you and the Merchant; and
- (iv) revoking your consent under Section 4A will stop further sharing of new information with the Merchant by Yaspa, but will not require the Merchant to delete, return, or stop using information or Derived Information already received.
8. Unauthorized activity
You should regularly review your bank statements. Under US law (Electronic Fund Transfer Act), you have specific rights regarding unauthorized transfers, but you must report them to your Bank within 60 days of the statement on which the error appeared.
10. Privacy
Your data is handled according to our Privacy Policy.
11. Indemnity
You agree to indemnify and hold harmless Yaspa Inc. and its affiliates from any claims, losses, or expenses (including attorney fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
12. Disclaimers; no warranties
THE YASPA SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
13. Limitation of liability
In addition to other limitations on liability set forth in these Terms, Yaspa Inc. shall incur no liability to you if a Merchant is unable to obtain or verify information about you, obtain payment from you, make payment to you, or receive information or analytical outputs derived from your Bank account via the Yaspa Services, or if you suffer any loss arising in connection with the Yaspa Services, in any case due to any of the following circumstances:
(a) Known malfunction:The Yaspa Services are not working properly, and you were advised of the malfunction by the interface before you confirmed or executed the transaction.
(b) Inaccurate information:You provided Yaspa or the Merchant with incorrect personal information or other information requested as part of the Yaspa Services.
(c) Insufficient funds: Your Bank account (or the Merchant’s account) does not contain sufficient available funds to complete the payment, or Yaspa determines, in its sole discretion, that the transaction does not meet our internal risk management criteria.
(d) Questionable activity: We determine, in our sole discretion, that suspicious or fraudulent activity has occurred regarding your use of the Services, or if previous payments you authorized have been returned unpaid or remain outstanding.
(e) Third-party delays: Circumstances beyond Yaspa’s control occur, including delays caused by the Merchant, financial institutions (including your Bank), ACH service providers, or the Automated Clearing House (ACH) or Real-Time Payments (RTP) networks.
(f) Merchant rejection: The Merchant elects not to process, or chooses to delay the processing of, your requested transaction for reasons specific to their business operations.
(g) Force majeure: Any event beyond Yaspa’s reasonable control, including but not limited to:
- pandemics, severe weather, or natural disasters;
- war, riots, or civil commotion;
- governmental acts, directives, or changes in law;
- strikes, work stoppages, or widespread equipment and facilities shortages (e.g., national internet or power outages).
(h) Information access, processing, and sharing: Any matter arising out of or relating to Yaspa’s access to your Bank account, processing of information from your Bank account, or sharing of such information or Derived Information with the Merchant, including without limitation:
- (i) the accuracy, completeness, currency, or quality of information obtained from your Bank;
- (ii) any decision, action, or determination the Merchant makes, or declines to make, in connection with your relationship with the Merchant on the basis of, or informed by, information or Derived Information shared by Yaspa;
- (iii) the Merchant’s use, retention, onward disclosure, or handling of information or Derived Information shared by Yaspa, which is governed by the Merchant’s own terms and privacy policy as described in Section 7(c); and
- (iv) any delay between your revocation of consent under Section 4A and the cessation of further information access or sharing, provided Yaspa acts on revocation within a reasonable time.
14. Prohibited conduct
By using the Yaspa Services, you expressly agree that you will not:
(a) Illegal use: Use the Yaspa Services for any illegal purpose or in violation of any local, state, national, or international law or regulation.
(b) Fraudulent activity: Perform any fraudulent activity, including but not limited to:
- Executing fraudulent transactions;
- Impersonating any person or entity or claiming false affiliations;
- Accessing the bank accounts of others without express legal permission;
- Providing false, inaccurate, or misleading information;
- Falsifying your age or date of birth; or
- Sending or receiving funds that Yaspa reasonably believes to be potentially fraudulent or linked to criminal activity.
(c) Security interference: Interfere with security-related features of the Yaspa Services, including:
(d) Breach of terms: Violate or breach any provision of these Terms or any incorporated policies.
(e) Jurisdictional violations:Access the Yaspa Services from outside a permitted U.S. state, if the specific Services or Merchant offerings are limited to certain geographic jurisdictions.
(f) Non-cooperation:Refuse to verify your identity or provide requested information, or fail to cooperate with an investigation or Yaspa’s attempts to collect funds for an authorized payment transaction.
(g) Intellectual property infringement: Infringe upon Yaspa’s or any third party’s copyright, patent, trademark, trade secret, or other intellectual property rights, including rights of publicity or privacy.
(h) Operational interference: Interfere with the operation of the Services or any other user’s enjoyment of them, including:
- Uploading or disseminating viruses, adware, spyware, worms, or other malicious code;
- Attempting to collect personal information about other users or third parties without their consent; or
- Disrupting networks, equipment, or servers used to provide the Yaspa Services.
(i) Facilitation:Attempt to do any of the foregoing, or assist, permit, or encourage any other person to engage in these prohibited activities.
15. Termination
You may terminate your use of the Yaspa Services at any time. To formally revoke your consent for future use, please contact our customer service team at techsupport-us@yaspa.com.
- Yaspa’s right to terminate:We may suspend or terminate your access to the Yaspa Services at any time, for any reason, including but not limited to a violation of these Terms or suspected fraudulent activity.
- Outstanding obligations:You remain legally obligated to pay all outstanding payments authorized via the Yaspa Services prior to the time of termination. Revoking your account does not constitute a “Stop Payment” order for transactions already in progress.
16. Changes to terms
We reserve the right to modify these Terms. Changes will be effective upon posting. Your continued use of Yaspa after a change constitutes acceptance of the new Terms.
17. Governing law
These Terms, and any dispute arising out of or related to these Terms or the Yaspa Services, shall be governed by and construed in accordance with the internal laws of the State of Delaware, without regard to its conflict of laws principles.
To the extent that any lawsuit or court proceeding is permitted under these Terms (and is not subject to mandatory arbitration), you and Yaspa Inc. agree to the following:
(a) Exclusive jurisdiction: You and Yaspa agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the State of Delaware (specifically the Delaware Court of Chancery or, if that court lacks jurisdiction, the Superior Court of the State of Delaware or the United States District Court for the District of Delaware).
(b) Purpose of litigation:This jurisdiction is for the sole purpose of litigating all such disputes, and you hereby waive any objection to such venue on the grounds of forum non conveniens (inconvenient forum).
(c) Service of process: You agree that service of process may be made upon you in any manner authorized by Delaware law or the laws of the jurisdiction where you reside.
18. Dispute resolution (arbitration)
All disputes arising out of these Terms will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
- No Class Actions: You agree to bring claims only in your individual capacity.
- Small claims: You retain the right to seek relief in a small claims court for disputes within the scope of its jurisdiction.
19. Electronic communications
By using Yaspa, you consent to receive all notices, disclosures, and agreements electronically.
20. Dwolla terms of service
In order to use the payment functionality of Yaspa’s application, you must open a “Dwolla Platform” account provided by Dwolla, Inc. and you must accept the Dwolla Terms of Service and Privacy Policy. Any funds held in or transferred through the Dwolla Account are held or transferred by Dwolla’s financial institution partners as described in the Dwolla Terms of Service. You authorize Yaspa to collect and share with Dwolla your personal information including full name, [date of birth, social security number, physical address,] email address and financial information, and you are responsible for the accuracy and completeness of that data. You understand that you will access and manage your Dwolla account through Yaspa’s application, and Dwolla account notifications will be sent by Yaspa, not Dwolla. Yaspa will provide customer support for your Dwolla account activity, and can be reached at [techsupport-us@yaspa.com].
